In accordance with the applicable laws, client hereby appoints, entirely at his/her/its risk, Gaurav Narendra Puri (SEBI Registered Research Analyst, Reg No: INH000014605) to provide research recommendations in accordance with the terms and conditions of the agreement.
The client has read and understood the terms and conditions of Research recommendations services provided by the Research Analyst along with the fee structure and mechanism for charging and payment of fee.
Research Analyst does not manage funds and securities on behalf of the client and that it only receives such sums of money from the client as are necessary to discharge the services by the Research Analyst.
Research Analyst does not offer any assured return services or minimum guaranteed return services. The scope of the services shall be in terms of the SEBI (Research Analysts) Regulations, 2014.
The Client hereby agrees to undertake the risks pertaining to the investments as stated herein:
• Investment in equities, derivatives, mutual funds and Exchange Traded Index are subject to market risks and there is no assurance or guarantee that the objective of the Investment Strategy will be achieved.
• Past performance of the Research Analyst does not indicate the future performance. Investors are not being offered any guaranteed returns.
• Investment in securities market are subject to market risks. Read all the related documents carefully before investing.
• Client may note that Research Analyst’s recommendations may not be always profitable, as actual market movements may be at variance with anticipated trends.
• The Research Analyst is neither responsible nor liable for any losses resulting from its research services.
• Registration granted by SEBI and certification from NISM in no way guarantee performance of the intermediary or provide any assurance of returns to investors.
Except as otherwise provided by law, Research Analyst or employees or affiliates will not be liable to Client for any loss that:
• Client may suffer by reason of any depletion in the value of the assets, which may result by reason of fluctuation in asset value, or by reason of non-performance or under-performance of the securities/funds or any other market conditions;
• Client may suffer as a result of Research Analyst’s recommendations or other action taken or omitted in good faith and with the degree of care, skill, prudence and diligence that a prudent person acting in a similar fiduciary capacity would use in conducting an enterprise of a similar nature and with similar objectives under the circumstances;
No suit, prosecution or other legal proceeding shall lie against the Research Analyst for any damage caused or likely to be caused by anything which is done in good faith or intended to be done under the provisions of the Securities and Exchange Board of India (Research Analysts) Regulations, 2014.
All disputes, differences, claims and questions whatsoever arising between the Client and Research Analyst and/or their respective representatives touching these presents shall be in accordance with and subject to the provisions of The Arbitration and Conciliation Act, 1996, or any statutory modification or re-enactment thereof for the time being in force. Such Arbitration proceedings shall be held in the state of Maharashtra and the language of Arbitration will be English.
The Research Analyst shall not be liable for delays or errors occurring by reason of circumstances beyond its control, including but not limited to acts of civil or military authority, national emergencies, work stoppages, fire, flood, catastrophe, acts of God, insurrection, war, riot, or failure of communication or power supply.
The Research Analyst will render its recommendations by the way of WhatsApp Message. Client shall only accept such recommendations which is provided to him/her by WhatsApp no : +91 9398494336. Research Analyst shall not be liable if the client accepts the recommendations which is provided to him by any other means. Further client shall acknowledge any communication via mail through compliance@headmasterstrading.com or headmasterstrading.com domain name only.
Research Analyst will not be liable for any email which is been received by client from any other domain name or mobile no.
Being a SEBI-registered intermediary, we shall strictly abide by any rules and regulations put forth by the regulatory authority – Securities and Exchange Board of India (SEBI) and shall not deviate from these rules and regulations by any degree. We follow the existing guidelines set by SEBI and will adjust our practices as a research analyst when these guidelines are changed.

However, it is ultimately up to you to decide whether or not to take positions on these recommendations or avoid them. We cannot be held responsible for any gains or losses resulting from the recommendations we have provided.

By subscribing to any of our services, the customer agrees to being sent notifications via SMS, WhatsApp Message and periodic email communications which can be any of the following but not limited to: newsletters, promotional content and research report links.
Our subscribers, a third party or anyone else have no rights to forward or share our calls or SMS or Reports or any information provided by us to/with anyone (through any medium) which is received directly or indirectly by them. Our subscribers or clients have no right to provide stock recommendations through any medium if the are not SEBI registered. If found so then legal action can be taken and will lead to automatic cancellation of subscription without any refunds.
Lifetime membership means membership till the date with which Research Analyst is having valid SEBI Registration.
You, and not Gaurav Narendra Puri, SEBI Registered Research Analyst, assume the entire cost and risk of any trading you choose to undertake. If you choose to engage in transactions with or without seeking advice from a licensed and qualified financial advisor or entity, then such decision and any consequences flowing there from are your sole responsibility. Most Important Terms and Condition
[Forming part of the Terms and Conditions for providing research services]
1. These terms and conditions, and consent thereon are for the research services provided by the Research Analyst (RA) and RA cannot execute/carry out any trade (purchase/sell transaction) on behalf of, the client. Thus, the clients are advised not to permit RA to execute any trade on their behalf.
2. The fee charged by RA to the client will be subject to the maximum of amount prescribed by SEBI/ Research Analyst Administration and Supervisory Body (RAASB) from time to time (applicable only for Individual and HUF Clients).
Note:
2.1. The current fee limit is Rs 1,51,000/- per annum per family of client for all research services of the RA.
2.2. The fee limit does not include statutory charges.
2.3. The fee limits do not apply to a non-individual client / accredited investor.
3. RA may charge fees in advance if agreed by the client. Such advance shall not exceed the period stipulated by SEBI; presently it is one quarter. In case of pre-mature termination of the RA services by either the client or the RA, the client shall be entitled to seek refund of proportionate fees only for unexpired period.
4. Fees to RA may be paid by the client through any of the specified modes like cheque, online bank transfer, UPI, etc. Cash payment is not allowed. Optionally the client can make payments through Centralized Fee Collection Mechanism (CeFCoM) managed by BSE Limited (i.e. currently recognized RAASB).
5. The RA is required to abide by the applicable regulations/ circulars/ directions specified by SEBI and RAASB from time to time in relation to disclosure and mitigation of any actual or potential conflict of interest. The RA will endeavor to promptly inform the client of any conflict of interest that may affect the services being rendered to the client.
6. Any assured/guaranteed/fixed returns schemes or any other schemes of similar nature are prohibited by law. No scheme of this nature shall be offered to the client by the RA.
7. The RA cannot guarantee returns, profits, accuracy, or risk-free investments from the use
of the RA’s research services. All opinions, projections, estimates of the RA are based on the analysis of available data under certain assumptions as of the date of preparation/publication of research report.
8. Any investment made based on recommendations in research reports are subject to market risks, and recommendations do not provide any assurance of returns. There is no recourse to claim any losses incurred on the investments made based on the recommendations in the research report. Any reliance placed on the research report provided by the RA shall be as per the client’s own judgement and assessment of the conclusions contained in the research report.
9. The SEBI registration, Enlistment with RAASB, and NISM certification do not guarantee the performance of the RA or assure any returns to the client.
10. For any grievances,
Step 1: the client should first contact the RA using the details on its website or following contact details: (RA to provide details as per ‘Grievance Redressal / Escalation Matrix’)
Step 2: If the resolution is unsatisfactory, the client can also lodge grievances through SEBI’s SCORES platform at www.scores.sebi.gov.in
Step 3: The client may also consider the Online Dispute Resolution (ODR) through the Smart ODR portal at https://smartodr.in
11. Clients are required to keep contact details, including email id and mobile number/s updated with the RA at all times.
12. The RA shall never ask for the client’s login credentials and OTPs for the client’s Trading Account Demat Account and Bank Account. Never share such information with anyone including RA.
